Research On The Construction Of Competitive Intelligence System For Enterprise Merger And Acquisition

With the rapid economic development,market competition has become increasingly fierce.In order to face the market competition and acquire the necessary resources of development,enterprises start to improve their competitiveness by mergers and acquisitions(M&A)in the global market.Due to the M&A are usually influenced by politics,economy,technology,culture,market competitors and other complex factors,these factors will bring huge risks to the enterprise M&A,especially in the cases that the M&A speed gets faster and faster,the timely demand when an enterprise make a decision becomes higher and higher,the M&A amount gets bigger and bigger and the chances for enterprises to make mistakes become less and less.To reduce the risks of M&A,it is necessary to obtain high-quality competitive intelligence to provide the decision-making basis for M&A,and the acquisition of competitive intelligence depends on the competitive intelligence systemCompetitive intelligence system can help enterprises to monitor the macro and micro environment of M&A,identify competitors and follow them to track and analyze,to provide early warning function for enterprises;identify target enterprises and analyze relevant information to provide decision-making basis,at the same time,it can improve self-information security and cultivate the learning competitive intelligence culture and so on.So,this paper obtain intelligence related with M&A by the construction of competitive intelligence system for enterprise M&A,and provide timely intelligence to the decision makers to help them to improve their decision-making ability,in addition,it can predict the future risks to reduce the risks of M&A and improve the core competitiveness of enterprises.First of all,this paper introduces theoretical knowledge of M&A and competitive intelligence system,combined with relevant knowledge of M&A and competitive intelligence system,and analyzes three stages of enterprise M&A process as well as the risk factors of each stage's main link,then puts forward the way that the competitive intelligence system applies to M&A process,next this paper analyzes the necessity of establishing competitive intelligence system in M&A,and analyzes the competitive intelligence problems and demands in M&A.On this basis,the general structure of the M&A competitive intelligence system is constructed,which includes the Competitive Intelligence Collection Subsystem,the Competitive Intelligence Analysis Subsystem,the Competitive Intelligence Service Subsystem,the Anti-Competitive Intelligence Subsystem,the Competitive Intelligence Feedback Subsystem and the Competitive Intelligence Management subsystem,total of six subsystems.Besides that,this paper illustrates the specific structure and function of the six subsystems,then establishes four guarantees(organizational guarantee,system guarantee,human security and cultural guarantee)which is needed by system operation guarantees to ensure the normal and efficient operation of the competitive intelligence system.Finally,the case study of the M&A competitive intelligence system is carried out,to achieve the empirical research on M&A competitive intelligence system which is put forward in the former chapters.
