In recent years, software outsourcing industry gradually becomes Chinese software industry and even the world new growth point of the software industry, through the high speed development in software outsourcing industry China also becomes the most potential country in the world service outsourcing. Software outsourcing in China not only makes the outsourcing enterprise obtain the rich profits, and more important is outsourcing process that our country enterprise (outsourcing vendor) can learn from the other enterprise (the client) in developed countries that the advanced management knowledge and project management experience, that enhance our country enterprise own innovation and competitive, shorten the gap with world excellent enterprise. Therefore, the author to domestic software outsourcing present situation, the main research has two aspects of content that influence software outsourcing vendor. On the one hand, research on how to improve the quality of projects, project control effectively, reduce project risk, and high efficiency and high quality complete in outsourcing project, making outsourcing vendor survive at home and abroad in the international competition of enterprise; on the other hand is how to improve the software outsourcing process’s knowledge transfer performance problems from the vendor perspective, and to absorption, to introduce the foreign advanced enterprise management idea and the management experience, make the software outsourcing industry chain gradually to advanced position.By researching the theory and the practice study found that, team members’cognitive dependence with each other is the essential characteristics of the project team in the software outsourcing. Therefore, this paper, from outsourcing vendor, introduces transactive memory theory and shared mental theory to explain how the expertise and common knowledge cognitive cooperation to influence knowledge transfer performance and vendor project performance, and based on this idea comes up with the model and research assumptions.Based on the empirical research method, according to surveying the software outsourcing project team from Beijing and Dalian software park, collect total90survey questionnaires, then use SPSS19.0and SmartPLS2.0statistical analysis software to analyse the85valid questionnaires, the empirical research results are as follows: (1) Transactive memory system, shared mental model have significantly positive effects on knowledge transfer performance and vendor project performance, so the result confirms that the cognitive cooperation has positive effects on the knowledge transfer performance and vendor project performance.(2) The data analysis results further affirm that transactive memory system influences knowledge transfer performance more significantly, shared mental model influences vendor project performance more significantly.This study applies classic cognitive theory to software outsourcing project team, explain that member cognitive coordination how to affect team performance results, and make the empirical data confirm the research assumptions. The paper improves and expands transactive memory theory and shared mental model theory, and provides some help on cognitive theory in the information management field study, and offers some references to software outsourcing knowledge transfer efficiency and knowledge transfer effect study from the vendor perspective.
