In the present knowledge era, human resources have become the No 1 economic element so that human resources competition already becomes the core competition of the enterprises. Along With the trend of globalization and China's entry into the WTO, enterprise Merger & Acquisition becomes more and more common. But the really successful enterprise M&A cases are not so many. The most influential element in enterprise M&A is Human Resource Management. In enterprise M&A, Human Resource Management is a systematic and complicated project, which should be guided by relevant theories and methods, and be gradually carried out with certain procedure.This dissertation focuses on HRM problems in enterprise M&A, concluding that M&A is confronted with various human resources risk, and the Human Resource Management problem varies with different M&A cases. Enterprise should pay close attention to human resources management during M&A process. HR integrations need to insist on certain principles at different M&A stages respectively, which include preparation stage, execution stage and consolidation stage. The paper explored the core tasks of HRM in M&A, such as how to remain the core employees, how to deal with the culture conflicts and how to rebuild work teams. Based on the analysis, the article also conducted some case studies on both successful and disappointed M&A cases. Finally, the paper summarized the basic laws of HRM in enterprise M&A.
