In E-business era, enterprise organizing, business process, interaction approaches with vendor, cus-tomer, consumer and all other cooperators change a lot. Implementation of ERP system has been a very important mean in the enterprise information management, hence the development of ERP system and rele-vant softwares have been a major part in software development. In software development, especially in ERP system design and modeling, object oriented modeling method and unified modeling language (UML) is the most popular approach.The paper analyzes the existing problems in ERP products and apply UML to design Distribution Management System。In details, the paper has made analysis and design as below:1) study the development of ERP, make a systematical analysis on the principle and modules of ERP system; according to future development possibility, analyze the status and approaches of integration between ERP and CRM; and study the specific requirements from the consumer goods industry;2) make a comparison on different modeling approaches; object oriented modeling method is adopted in this paper for it's obvious advantages like high-reusability, flexibility and easy main-tenance;3) make an analysis on various kinds of UML diagrams, and modeling mechanism of UML, study the extension of UML activity diagram; it can express ERP system model clearly and is conven-ient for software reuse, reconstitution, integration and collaboration when build system model by UML;4) apply UML and design the system frame and sub-modules like Distribution, Inventory, Purchas-ing, with an emphasis on distribution processes like order checking, and promotion; study master data modeling collectively;5) introduce the development platform and tools, study the reflection between ER model and object model in database realization.
