With the deepening of reform in Hygeian systems and social undertakings as well as the transformation of government functions in public health management, the disadvantages of excessive public medical institutions have become increasingly evident, for it can lead to heavy financial burdens for the government and lacking medical market competition.The purpose of this study was to investigate the necessity of reform on medical management mechanism and the major subsistent problem of public hospital, seek for theoretical basis for the separation of ownership and managing rights in state-owned hospitals in Guangzhou. Furthermore, some policy suggestions on corporate governance have been scientifically made for public hospital of Guangzhou.Firstly, reform patterns of state-owned hospitals in Guangzhou were analyzed with the theory of separation of two rights and agency theory. It was elucidated that the separation of two rights should be conducted in state-owned hospitals.Secondly, it was analyzed, which were the provision of medical services, the managing condition of state-owned hospitals in Guangzhou, social contradiction and inner problems. It was concluded that system reform of state-owned hospitals are very necessary.Thirdly, it was investigated, which were some patterns of system reform on Hygeian managing organization overseas and practicing experiences of domestic public hospital. The prominent problems of reform in public hospital were analyzed. It was concluded that the government should play an important role in Hygeian system transformation.At last, some policy suggestions on separation of two rights have been proposed for public hospital of Guangzhou. It was concluded that it is realistic and feasible to establish the system of corporate governance and realize separation of two rights through investigating the attitudes to reform of personnel of public hospital in Guangzhou and analyzing comparably reform patterns of state-owned hospitals. The process of setting up modern corporate governance was raised, that is setting up of hospital administrating corporation, constituting directorate and supervising organization of directors, as well as establishing the system of corporate governance in public hospital.In summary, it was concluded that setting up separation of two rights could resolve prominent contradiction and realistic problem in state-owned hospital, deepen system transformation of state-owned assets, and promote change in government functions of management mechanism on Hygeian managing organization.
