In recent years, as China's- the emerging economic power- rapid economic development, the demand for strategic energy such as petroleum and natural gas consumption will also increase. However, since 1993, China has become a net importer of petroleum, and petroleum imports increased significantly every year. Crude oil has been in shortage of resources in China, and also has a rising dependence on foreign oil and gas. So, China began to enter the world oil chemical industry, to protect the resource requirements of the healthy development of China's economy, to carry out international direct investment, using the way of cross-border mergers and acquisitions to seize the oil and gas strategic resources to increase China's crude oil reserves. However, we still have a large gap from the international oil giants in many respects, which have the long history and development, so we have a long way to go. Therefore, it is very necessary to study that China's petrochemical industry go for the international transnational mergers and acquisitions and to pay attention to the world's oil giant's international direct investment.In this paper, on the basis of theoretical explanations for the application of international direct investment and cross-border mergers and acquisitions, analysed China's overseas oil acquisition causes, to explain the acquisition of overseas oil assets is our inevitable choice. And through the analysis of a large number cases carried out in China in recent years, including all the major cases of foreign oil industry mergers and acquisitions, as well as some of the world's oil giant cross-border M&A cases, and made comparative analysis of the two, and pointed out the problems and risks of that China expands overseas oil and gas industry to conduct cross-border mergers and acquisitions of overseas oil and gas assets, and on the basis of the above put forward the corresponding countermeasures and suggestions.
