Research On Risk Management Of Cross Border Mergers And Acquisitions

The current world economy showed low growth,low investment,low trade,low inflation,low interest rates,low oil prices,which is caused by a series of deep-seated structural reasons,but the downturn in the economy to provide important opportunities for mergers and acquisitions,especially cross-border mergers and acquisitions.M&A can change the existing industrial structure and economic structure to a certain extent,and is an important force to push the global economy out of the doldrums.At the same time,the acceleration of global economic integration requires the redistribution and utilization of world resources in order to achieve the coordinated development of the global economy.In the past years,play a leading role in the enterprises of developed countries in the world have been on the stage of mergers and acquisitions,but in recent years,with China's "going out" and "capacity","The Belt and Road" and "Chinese manufacturing"and other related policies,while domestic enterprises grow their own strength,enterprise cross-border Chinese m showing explosive growth.Cross border mergers and acquisitions(M&A)have positive significance for solving the problems of sluggish domestic demand and irrational industrial structure at the present stage.It is also an important way for Chinese enterprises to move into the world economic arena.As China's cross-border mergers and acquisitions started relatively late,so in the process of mergers and acquisitions have exposed many problems,according to KPMG accounting firm statistics,Chinese enterprises overseas mergers and acquisitions success rate is much lower than the world average.From the current world environment,slow economic growth,trade barriers,national debt crisis,financial market turmoil will have negative impact on cross-border mergers and acquisitions,cross-border mergers and acquisitions to face more risk.Therefore,in the complex environment,Chinese enterprises should effectively identify and manage the risks in cross-border mergers and acquisitions,and make reasonable decisions after risk assessment,in order to improve the success rate of cross-border mergers and acquisitions.This paper studies the risk warning of cross-border mergers and acquisitions ofChinese enterprises,and points out the main risk points of cross-border mergers and acquisitions of Chinese enterprises,and establishes a risk early warning model based on a variety of theories.At the end of the article,in the premise of risk warning,according to the actual situation of our country,some reasonable suggestions are given from two countries and the enterprise level,in order to reduce the risk of cross-border mergers and acquisitions in the actual operation.
