| As far as the number and economic efficiency are concerned, the non-governmental enterprises in China have been thriving since 1980s, but the natural elimination rate has been relatively high. The improper corporate governance is the key reason in limiting the sustainable development of the non-governmental enterprises in china, such as low efficiency in family business, the family business owner's dictatorial inclination,unclear corporate governance targets and imperfect motivation and discipline systems etc.By now, domestic research mainly concentrates in life cycle,the Structure of Corporate governance, it is still incomplete in the research of non-governmental enterprise's corporate governance. Based on the combination of principal-agent theory and stakeholder theory, this article proposes a new angle to research the non-governmental enterprise's corporate governance, and draws the conclusion that selecting proper corporate governance structure to assure the stakeholder's sharing of corporate governance are essential to overcome family enterprise's weak points and make sustainable development.The article consists of five parts. Chapter one is the introduction, explaining the background and meaning of the topic,related research development and related basic theories ; Chapter two analyzing the principal-agent theory, accessing the factors and current situation of the non-governmental enterprise's corporate governance. Chapter three analyzing the Non-governmental enterprise's stakeholders governance. Chapter four analyzing the governance model and strategies of the non-governmental enterprise's stakeholders. It is necessary to let the stakeholders share the governance , in order to keep the sustainable development of the non-governmental enterprise; Chapter five explaining the proper corporategovernance through a typical case study . |
