The core of business management has been shift from material management to Human Resources management in the 21st century. Knowledge will be the key resources of enterprise and talents will be the foundation of the competition between enterprises. It became the hot topics of each country and enterprise that how to inspire & motivate employee, how to dig out employee's potential to improve the organization's effectiveness. The core of Human Resources management are how to identify right person to take reasonable job designing, how to provide equitable and competitive compensation, how to conduct effective performance appraisal, how to train and develop people. Human Resources management should be aligned with business situation to make the system scientific and standard.With the integration of global economics, the state-owned enterprise is facing big challenge. The reformation of Human Resources Management is one of the milestones of the reformation of state-owned enterprise. This dissertation reveals the internal & external factors and the attributes of each system through the comparison of the Human Resources Management System between state-owned enterprise and U.S enterprise. This dissertation is focusing on the following areas: compensation system, employee training and development, performance appraisal system .Regarding the reformation of Human Resources system, system is one point since we can refer to the advanced system and tools used by US enterprise. The most important point is the mindset change. This is reason that one chapter in term of the enterprise culture is added.Based on the actual situation of State-owned companies in China and the thorough analysis of the Human Resources Management system of U.S companies, I draft the proposal for state-owned companies on the following areas: how to build up scientific and competitive compensation system, how to identify and develop talents, how to build up reasonable and actionable performance appraisal system and how to foster a good company culture. I hope that this dissertation could be kind of help to the Human Resources management of state-owned companies in China.
