To enhance the competitiveness of China's commercial banks and speed up the integration into the world tide of economic globalization and world financial integration is an inevitable measure to build an economic power and a financial power.China's commercial banks have developed rapidly since their birth,some of them have reached the advanced ranks of the same industry,and some of the operating indicators have even reached the standard of international first-class banks.Commercial banks are also carrying risks and hidden risks while achieving substantial achievements.The modern corporate governance structure is of great significance to the company's performance and risk management.The creditor status of the bank has a natural advantage in corporate governance because of its convenience in obtaining all aspects of enterprise information.Therefore,its role in corporate governance has also attracted much attention.However,as far as the current study is concerned,there are many studies on the impact of banks on corporate governance,and few people pay attention to the corporate governance of banks themselves.In China,banks have a unique leading position in the financial system,so it is particularly important to discuss the governance structure of banks.Although China's commercial bank governance system is constantly improving,but its corporate governance level is still far behind developed areas such as Europe,the United States,Japan and South Korea.Most of the studies on the governance structure of commercial banks in China focus on the impact of corporate governance on the performance of commercial banks,ignoring the role of corporate governance on the risk-taking of commercial banks.In 2007,the global financial crisis broke out after the subprime mortgage crisis in the United States,which made the risk-taking of financial institutions,especially commercial banks,become the focus of academic and practical circles.Under the above background,this thesis studies the impact of corporate governance structure of listed commercial banks on their profitability and risk-taking,and discusses the role of corporate governance structure of Chinese commercial banks and improving the profitability of commercial banks in preventing risks.Firstly,this thesis systematically combs the existing study results at home and abroad.Secondly,it analyzes the relationship among corporate governance structure,profitability and risk-taking of commercial banks based on relevant theories and puts forward study hypothesis.Then,the selected sample data are carried out by using the constructed model.Empirical analysis,from a quantitative point of view to verify the study hypothesis,and finally according to the theoretical analysis and empirical analysis results,put forward countermeasures to improve the profitability and risk tolerance of commercial banks in China.The specific structure is as follows:The first chapter is introduction.This thesis expounds the theoretical and practical significance of this study,defines the study methods and contents,defines the relevant concepts,clarifies the study objects,combs the logical framework of the article and points out the article by combing the domestic and foreign literature related to the profitability and risk-taking of commercial banks.The innovation and deficiency of the chapter.The second chapter is about the theoretical basis of corporate governance.This chapter mainly introduces the connotation and characteristics of corporate governance,the unilateral governance theory of "shareholder interests first" in corporate governance structure,the theory of stakeholder co-governance,the principal-agent theory,and the corporate governance of commercial banks,which lay a theoretical foundation for the writing of this article.The third chapter,theoretical analysis and study assumptions.This chapter discusses the impact on the profitability and risk of commercial banks from four aspects:the ownership structure of commercial banks,the board of directors governance,the board of supervisors governance and the executive compensation incentive,and puts forward corresponding assumptions.The fourth chapter is study design.According to the hypothesis put forward in the third chapter,this chapter carries on the corresponding study design,mainly including the selection of study samples,the definition of interpreted variables,interpreted variables,control variables,and the construction of the study model.The fifth chapter is the empirical analysis.This chapter mainly uses EXCEL,STATA and other study tools for empirical analysis of selected study samples,including descriptive statistical analysis and regression analysis,and then verify the study hypothesis put forward in the previous section.The sixth chapter,measures to optimize the corporate governance structure of commercial banks.Based on the above theoretical analysis and empirical analysis,this chapter draws the actual impact of corporate governance structure on the profitability and risk-taking of commercial banks in China.At the same time,combined with the actual situation in China,it proposes to introduce strategic investment,optimize the equity system,and give full play to the board of directors and independent directors'operation and supervision.To further improve the incentive mechanism for senior managers to reduce government intervention in bank operations,create a good market environment,improve capital adequacy,increase asset returns,give full play to the supervisory function of the board of supervisors and other relevant policy recommendations.
