With the accelerated development of economic globalization, financial institutions are facing the increasing risks. Perfect corporate governance plays an important role in the development of commercial banks. It can not only improve the bank’s risk management but also promote the healthy development of the banking industry and stable economic system as a whole. Through the financial crisis in2007we can see, inadequate corporate governance easily lead to bankruptcy because of excessive risk-taking, and then cause potential effects to the whole economic system, such as the infection of risk or influence to the payment system,so as to produce a great public cost and serious consequences. This paper analyzed the influence factors of corporate governance which could affect bank risk-taking of china.This paper used comprehensively uses the logical and empirical study. First, this paper theoretically analyzed the influences of ownership structure, internal checks and balances, incentive and regulation mechanism of coiporate governance factors for the influence of bank risk. Then we chose data from the annual reports of the five listed banks in china during the period from2003to2010.And we chose seven dependent variances including the controlling power of large shareholders, the board size, the board of supervisors size, the ratio of the independent directors, the capital adequacy ratio, the asset size and financial leverage. The empirical results were as follows:First, in the corporate governance mechanism, the stronger the large shareholder control, the greater the bank’s risk; the greater the board size and the higher the bank’s capital adequacy ratio, the smaller the bank’s risk; the independent directors and the board of supervisors size of the influence to the bank’s risk were not obvious. Second, in their own operations, the larger the asset size,the smaller the risk of commercial banks; the higher the financial leverage, the higher the bank’s risk.Finally, this paper on the basis of the above empirical conclusions combined with the development of commercial banks in China, from the ownership structure, incentive and restraint mechanism and supervision mechanism, had made improving corporate governance of commercial banks in China, controlling of bank risk-taking policy recommendations.
