With the continuous development of capital markets at home and abroad,and the increasing demand for foreign investment by listed companies,the research on venture capital management of listed companies has received more and more attention and attention from the theoretical and practical circles.This paper selects the example of external venture capital management of G Co.,Ltd.,and introduces its internal control environment and internal control status from five aspects: risk investment control system design,risk investment internal control execution,venture capital project disposal,venture capital supervision and venture capital income financial accounting.From the design and implementation stage,supervision stage,disposal and accounting stage of the internal control system of listed company venture capital management,the reasons for the loss of the invested unit and the loss of 500 million yuan are analyzed,and the internal control related defects caused by these reasons are explored.Based on the relevant internal control norms,the internal control management of the daily investment activities of the listed companies is strengthened.G listed company is an integrated circuit(chip)design company,mainly engaged in the development and sales of security chips and communication chip products and propose related solutions.The company's main products are security chips and communication chips.G listed company established a wholly-owned subsidiary G Investment Management Company on August 13,2015 to be responsible for group investment activities.G Investment Management Company's responsibilities are all borne by G Company.Its main business scope is: investment in industrial development;equity investment;venture capital;entrusted asset management;investment management,investment consulting,investment consultants(excluding restricted projects above);The venture capital direction is mainly for high-quality growth enterprise projects in emerging technologies,pharmaceuticals and other industries,focusing on projects with strong research and development capabilities,good development prospects,high return on investment and advanced management models.This paper takes the failure of venture capital investment of G listed companies as a typical case,and deeply discusses the reasons for investment failure,investment process and investment consequences,and discusses the investment management of G listed companies from the perspectives of investment plan formulation,management execution,follow-up supervision and information feedback.Economic consequencesand other issues.On the one hand,the analysis of the deeper reasons related to the internal control of venture capital failure has a warning effect on the construction and implementation of the listed company's internal control system for venture capital;on the other hand,it proposes improvement suggestions for internal control defects,for all listings.The improvement of the internal control management of the company's investment activities has reference significance.In addition,this paper uses the risk matrix model analysis method to apply the investment internal control analysis ideas in audit practice to the paper,from risk investment decision-making and execution,venture capital supervision,venture capital project disposal internal venture capital investment of listed companies Control research.The thesis is divided into five chapters.The first chapter is an introduction.It mainly expounds the current research background and significance of the article.It summarizes the research of internal control of venture capital by domestic and foreign research scholars,as well as the research methods and writing framework used in this paper.The second chapter is a theoretical overview,including an overview of the internal control of venture capital,the key control points of venture capital activities and related theoretical foundations,which laid the theoretical foundation for the description of the subsequent chapters.The third chapter is a brief description of investment cases and analysis of the current status of internal control of venture capital.From the basic operating conditions of the company and the process of risk investment deficit of 500 million yuan,the investment cases of G listed companies are expounded.From the perspectives of investment plan formulation,management execution,follow-up supervision and information feedback,the status quo of investment in G listed companies is analyzed.In the fourth chapter,based on the in-depth study and analysis of the reasons for the internal control problems of venture capital in G listed companies,from the perspectives of the design of internal control system of venture capital management,the execution of investment activities,the supervision of investment activities and the communication of internal information,In-depth analysis of the problems existing in the internal control of venture capital management of G Company.The fifth chapter puts forward suggestions for improving the internal control of investment business of G listed companies.From the five aspects of improving governance structure,improving investment management system,optimizing decision-making process,strengthening internal supervision and strengthening information feedback,the company proposes improvement suggestions for the company to ensure G listing.In the future,the company can strengthen risk investment management and achieve the company's business objectives.
