With the emergence of the joint-stockcompany,the ownership and managerial right separated.Because of manager's opportunism behavior and informational asymmetry,incentive compatible of manager is difficulty.Soconstructing a scientific and reasonable entrepreneur incentive system is not only realistic problem to enterprise reform,but a research focus inscholarly communities.Entrepreneur Incentive and constraint mechanism is the core content of corporate governance,and the basic problem is the owners how to make the operators of enterprises in the use of the resources effectively and maintain the owner's rights and interests.Bythe incentive to mobilize theentrepreneur to create a high level of corporate performance.At the same time,enterprise should standard entrepreneur behavior through the constraint mechanism.Through the analysis of Company A on entrepreneur Incentive mechanism,diagnosis with the management and incentive mechanism status,find out the problems existed in the incentive mechanism of company A,at the same time,from the state-owned enterprise corporate governance experience,design pharmaceutical company entrepreneur incentive mode.Use of performance incentives,compensation,motivation,professional growth and development of design and implementation of the work/life balance incentives to motivate entrepreneur,and designing constraints mechanism for Company from two aspects: internal and external.From this design to improve the efficiency of the organization,and achieve better business development,at the same time for the pharmaceutical industry and the operator of the state-owned enterprise incentive model provide the reference.
