Government-affiliated institutions which have retained Chinese characteristics, service the purpose of public welfare.Mainly engaged in education and other social service activities.The reform of the institutions and corporate management after such reform has became evenmore controversial issue in recent years.As the social economic grows,a steady corporate management would be a safeguard for the long-term development of the company.It also aids in enterprises attract investment from domestic and abroad,enhance the value of salary,maximize the interest of all parties.Contributes to the society's development.This thesis focus on the object of study:S survey and Design Company, a state-owned company that had reformed into a joint stock enterprise. According to the business' s characteristic,operational status,management method,and by making comparison with state-owned business management issues,reveals that despites significant increase in primary business incomes and per-capita output value; Decade after its reform,the S company's management remained problematic,mainly regarding the imperfect stock right structure;Irregulation of operational procedure across the stockholder committee, he board of directors and supervision board;lack of sufficient internal/external supervision and check/balance mechanism;dual role of chairman and executive manager,the dominating fact of “one person lays down the law” is a serious issue.we would demonstrate samples of successful management structures and experiences by domestic/foreign companies, and compare these with S company's situation,concluding our study and research by provide S company with logic suggestion and improvement method,which would assist the company with its management model reform.The conclusive suggestion is that the company could choice a management model which base on a mixture of the “government guiding” model and the “legal representative directing” model.Meanwhile, inspired by the regulation that set up specialized committee under the board of directors and supervision board,the S company's management procedure can be improved accordingly.Base on that, this essay has provides S survey and design company's management pattern with optimal improvement design.Which has maintained a gradual,consistent improvement,established a base principle that has united both responsibility and benefit,balancing the beneficiary's involvement into the company's management regulation making process.The essay has suggested few method to improve the management's efficiency,such as increase ratio of stock share for the middle management and senior technicians;Improve the selection procedure for board member,and set up payroll appraisal committee in the board in order to improve the exercise of the board;separates chairman and executive manager in order to avoids replication between board member and executive management team.Monitoring the composing of the Board of supervisors,configure and readjust the jurisdiction of the supervising board,establishing a remuneration incentive and restraint mechanism, provide suggestion and assessment for the company's consistence progressive management pattern.
