| This paper studies the theoretical and practical issues of a state-owned institute named SIGEI which will be reconstructed to be a science and technology oriented corporation. Based on the theory of state-owed firm reformation and thorough investigation of SIGEI's history and status quo, this paper proposes a comprehensive reforming plan of SIGEI, and furthermore gives a solution to important and complicated problem which may be come forth in the future reforming process.Exploration and Design Industry (EDI) is intense of knowledge factor. First, this paper analyses comparatively domestic and foreign development of EDI, and points out that the domestic state-owned institutes in EDI should be reconstructed to be engineering consultation enterprises. We also review the reform history of state-owned institute in EDI, and examine the policies aiming at this reform of state and local government.Based on the investigation of history and status quo of SIGEI, this paper find out the constraints of its development, and discuss necessity and feasibility of its reform, and suggest the aims, rules and plans of the reconstruction.How to establish the governance configuration of SIGEI is the key of reconstruction. Because of the requirement of incentives of science and technology—oriented corporation, and depending on the research of experiences of previous reconstruction of stated-owned institutes, the paper analyses the mode which state-owned capital is overall withdrawn, and design the blue print of equity distribution and show its rationality. The actual pattern of management of SIGEI aligned with respect to the project management, but, this pattern cannot be suitable to the reality because the business of SIGEI expands rapidly, so as to leading to a series of problems, and obstructing the progress of reconstruction. The paper demonstrates its advantages, and proposes a tentative schedule of management transform of SIGEI.Finally, the paper sums up as possible the relevant policies of state and local government, and suggest how to deal with credit and debt, and rearrange redundant employees of SIGEI. |
