The group company in the form of the integration of the world economy developmenthas become one of the developing trend of enterprises. Along with the increasing of thenumber of group companies in our country, it is become a common problem in a fast growingcompany managers face how to choose a suitable control mode, take appropriate controlmeasures to realize the effective control of the subordinate subsidiary. There have manyproblems that the traditional management theory and methodor which are used in the processof group company control because of the special group of companies. Therefore, it hasbecome a challenging research topic and practical significance which based on the researchresults of scholars theory combined with the actual development of enterprise design targetedcontrol system, so as to ensure that the group company control effectively the subordinatesubsidiary.The author carried out a careful combing theoretical achievements about the groupcontrol of scholars at home and abroad, defined the research background and significance,discusses the group control of content and specific mode, analyzed the group company controlmode selection influence factor from external factors and internal, introduced the presentsituation and from the control of the ZY group from organization structure, governancestructure, decision mechanism, supervision mechanism and performance appraisal andincentive, pointed out the existing problems in the internal control of the company. On thisbasis, the author designed the internal control system of ZY group which is composed oforganization structure, control mode and control means, combined with the actual situation ofZY group, suggested managers need clear the development strategy and requirements of staffand external environment headquarters and subordinate subsidiary adjust organizationalstructure, clear responsibilities of the various functional departments, adjusted the groupheadquarters and subordinate subsidiary organization structure, cleared responsibilities of thevarious functional departments; adopt different control mode for the Real Estate Company,property management/Consultants Co and Guarantee corporation because of affectingfactors, identified the function orientation of group headquarters, headquarters and subsidiaryrights division, at the same time, took corresponding control measures including financialmanagement, human resource management, information management, implementation andbusiness process management control.The innovation of this paper lies in the group control system should be an integratedsystem which is composed of organizational system, control mode and control methods, thearticle can provide some theoretical guidance to ZY group company internal controlimprovement, help managers enhance internal control efficiency, lay a solid foundation toachieve its strategic objectives; on the other hand also provide certain reference and guidancefor the other managers which company have similar problems.
