This is an era of knowledge economy with fierce competition of human resource. To stand out of such competition, the enterprises are meant to be take control of the intellectual resource. As to the state-owned-enterprises, which play a vital role in the national economy development, have to pay even more attention to this issue due to the serious talent drain. The traditional industries and monopoly industries are the pillar of China’s state-owned-enterprises, which was once the essence why the system exits, but now the defects have been gradually revealed, such as the lack of human resource management and the growing talent shortage. Therefore, how to manage human resources, to retain and make talents more effective have become an urgent problem of the state-owned-enterprise to be solved. Motivation, as the core, has become the important factor for business success.SD Environmental Equipment Company is a typical aging state-owned-enterprise. This paper is based on the reviewing of the existing motivate theory, combined with human resources development status of China’s state-owned-enterprises and the overall industry environment in which the SD company operates, analyzed its status and defects, and then puts forward corresponding solutions and countermeasures. Based on the existing state of SD Company’s motivation management, together with domestic and foreign motivate theory, analyzed the problems within the company’s motivation mechanism through the way of data collection and survey interviews, further provided corresponding suggestions and countermeasures in terms of the company’s motivation mechanism, staff training and development, corporate culture, performance appraisal and reward and the motivation mechanism for managers and top managers.The greatest innovation of this paper is to supplement the domestic motivation mechanism research of the aging state-owned-enterprises, in order to be able to contribute to the theoretical study of the motivation mechanism of these enterprises.
