In the last three decades, our state-owned economic has rapidly development and the power and competence in whole has advanced as well. State-owned enterprise has unsubstitute effect on both national market and global market, which at the same time faces the huge challenge and opportunity. The revolution of the state-owner enterprise experienced continued exploring. With the deepen of the economic system's revolution and quicken of course of marketization, some deep-seated problems in the management mechanism of state-owned enterprise has been unveiled, in which the individual is the significant problem. The establishment and application of the incentive mechanism is the essential positive effect on inspiriting the potential of the individual, and enhance the enterprise's competitive to comply the development of market economy. This paper focus on the incentive mechanism of state-owned enterprise and perspective form creation to discuses reasons of existence of the problems and point out the schemes and opinions.This article points out that the significance and necessity for researching of state-owned enterprise's incentive mechanism and creation, and discusses the status quo and predict the future develop tendency. Combination with the national and international researching results in the area of the enterprise incentive mechanism, it researches the common application tool of the human resource managing incentive mechanism in current state-owned enterprise. For more, combination with the actual work practice, basing in the area of designing and application of the performance assessment system, it particularly explores how human resource managing incentive mechanism can exert appropriate effect on the promotion. And then bring it future to discuss the application of the equity incentive and the expectation incentive in the practice in the enterprise. Finally, it indicates the imagine of H model, in term of the cross incentive model of state-owned enterprise's management and technical expert, and the model of learn-organization and differentiation incentive.
