With the continuous development of the market economy and the constantly advanced reform of banking and financial sector, in order to adapt to the development of internal and external environment changes, in2005Industrial and Commercial Bank of China in a timely manner implemented flattening reform which mainly directs to reduce the establishment level. After the reform, two branches in two levels of branches implemented the "two-City branch two branches" which are two levels of organization management mode. Undeniably, the reform promoted professional ability, but at the same time, some problems gradually turned up, such as affecting the market competitiveness. This paper selects industrial and Commercial Bank of China Zhangye branch as the research object, systematically studies the background, main methods, results and deficiencies of the reform. Combining the flattening organizational structure theory and the benchmarking of developed countries’ commercial bank organization flattening reform, this paper analyzes a series of problems and then puts forward specific suggestions of strengthening management capacity and improvement measures including operating optimization management model, clearing secondary branch department responsibilities, setting up a sound stratified marketing system and improving the business performance evaluation mechanism, strengthening urban secondary branch channels of the allocation of resources, optimizing urban construction, establishing urban motivation and accountability mechanisms of the secondary branch.
