Governance of colleges and universities, is the key point of improve the modern colleges and universities system, focus on the design and operation mechanism. In recent years, colleges and universities arise generalization of administrative power, academic corruption, declining quality of education and other problems frequently, study of colleges and universities governance structure and operational mechanism of higher education in China has drawn increasing academic attention. Compared to the West, governance research universities started late in China, due to the special nature of the state system. The colleges and universities of western governance model and the academic ideas of college do not fully meet china, so, our colleges and universities must explore a governance path suited to myself national conditions and as soon as possible to join the World first-class university ranks. In this paper, research three parts of operating mechanism of governance of colleges and universities.The first part is of governance and theoretical basis of the operating mechanism of colleges and universities; It is very important to grasp the direction of research problem that what the body of the operating mechanism of colleges and universities governance and classification operating mechanism, master the theoretical foundation of the operating mechanism of colleges and universities governance in order to find the root of the problem.The second part is a study of the problem for the current run of the operating mechanism of colleges and universities governance and analysis the reasons. First, analyze the University Statute text and summarize set of University governance institutions and functions, in order to understand the governance structure and operation of colleges and universities; research literatures and understand summarize problems of the operating mechanism of colleges and universities governance; combined with the actual situation, theoretical foundation and problems, generalize two reasons for problems: First, the external causes, the relationship between the universities and the government difficult to locate; the second is the intrinsic reason, power and tertiary institutions fuzzy boundaries and uneven.The third part is emphasis and innovation of papers. For the root of the problem, combined with theoretical basis, put forward suggestions that improving the operating mechanism of colleges and universities governance: in the governance process is necessary to improve environment of the external operation, but also enhance stakeholder active participation; strengthen supervision, protection, evaluation feedback link construction and improve the incentive and restraint mechanisms, hoping for pay out meager power of the benign development of colleges and universities.
