The board of directors plays a leading role in the internal governance of American universities and colleges,and the governance effect of the board of directors is receiving increasing attention from the society.In order to cope with the pressure of accountability of internal and external stakeholders,the emergence and development of the board assessment has become an important idea and measure to prove the effectiveness of the board’s own operation and improve the internal governance performance.In the context of China’s implementation of "Double First-Class" project,studying the operating practices of the board assessment in American universities and colleges has important theoretical and practical significance for optimizing the internal governance structure of Chinese universities and improving their governance effectiveness.This article takes board assessment of the University of Wisconsin-Madison,Furman University,Howard Community College,and Carrington College as the research object,and uses Kotter’s theory of organizational change as the theoretical basis,comprehensively using of research methods such as literature research,case studies and historical research,combined with the research dimensions of stability-change,structure-process,etc.,with the research logic of "historical evolution-specific practice-academic discussion-reference inspiration" to carry out an in-depth analysis of the structure,process and function of board assessment of American universities and colleges.The study find that:First,board assessment has gone through three stages of development,from the traditional passive decentralized response to the stage of improving performance autonomy,and gradually to the stage of focusing on board leadership and professional development.Second,board assessment of the four American universities and collegeshas their own focus,which represents the board assessment model that follows cultural traditions,highlights competitive advantages,responds to changes in demand,and focuses on core issues.Third,by constructing an ideal comprehensive design model for board assessment,it can provide a common reform paradigm and ideas for different universities and colleges.Fourth,board assessment of American universities provides useful references for optimizing the internal governance of Chinese universities,including: clarifying university positioning and highlighting core advantages;promoting shared governance and improving leadership,focusing on student outcomes and improving teaching quality;adapting to the trend of change and fostering leadership assessment culture.
