After thirty years'reforming and opening, Chinese state-owned enterprises'theoretical understanding and concrete practice of reforming constantly made breakthroughs in knowledge and experience. And now it steps into a Comprehensive, high-speed advance stage. Since 2006, Street government owned enterprises in Shenzhen are being carried out steadily and orderly. Dapeng economic development company is under the street of LongGang district, which is one of the company required to complete Reforming.This article is based on Dapeng economic development company's reforming as studying subject. Through expounding of the restructuring of the general ideas and modes, the investigation on the law and document made by governments, we look for the policy support. Hereon the foundation, we carry out a comprehensive analysis of the company's internal and external environment, and put forward the need for reforming.This article brings a pragmatic restructuring model for Dapeng Economic Development Company, and meanwhile studied the main content of the related reforming program. This article's emphasis is investigating on the company's environment, the restructuring model and solution's main content. Among them, the analysis of the company's environment is a basic work of reforming, the model is the key of solution design's core. This article start from some main restructuring model, and consider the internal and external fact which company is facing with the required target, it put forward"Mix Reforming Model"that is"Staff to give priority to some of the good assets owned + balance assets to be packaged to the Longgang District investment management companies for the transferring of debt". Meanwhile we analyzed the proceeding impact. In this paper, and then analysis to the restructuring program in the design of the main contents, which is including the disposal of assets and liabilities, staff compensation and the resettlement of the new company's equity and governance, the corresponding countermeasures is put forward.Finally, this paper analyzed the developing strategy after company's reforming proceeding. It suggests the government keep attention and support the company's developing to help the company can get through survival period after reforming.
