State-owned commercial banks are born out of and deeply branded by planned economic system. As Chinese economy transformed from planned economy to socialist market economy, state-owned commercial banks experienced a rough period, its reform and development process is an epitome of new China economic system transformation, just as other state-owned enterprises.The theoretic connotation of state owned commercial banks is very rich. State-owned commercial bank can actually be divided into two parts:"state-owned"and"commercial bank"with market and enterprise attribute. State-owned attribute is engendered by compulsive vicissitude, and the market and enterprise attribute is naturally evolved in system vicissitude. Government and market is paradoxical in a particular space and time. The commercial banks with both government and market attribute engendered conflict of multiple government objects and market single object of profit maximum. In planned economic system, there is no room for market. As the cashier of treasury, state-owned commercial banks'economic benefit submits to the need of politics, the object of state-owned banks submits to that of government. During the transition to market system, the conflict appeared, a project is good for economy, but not good for politics. In this paper, government is endogenetic variable, and the contradiction of state-owned commercial banks has endogenetic attribute."close loan"is the best example. It is important in theory that we research state-owned banks from the viewpoint of system and mechanism, applying government and market theory.In fact, it is important as well to research state-owned banks. The underway shareholding transformation of state-owned banks brings forth many new issues:For example, must the state hold the majority of share? In other words, is it necessary that state-owned commercial banks exist? Based on the situation of our country, the state must take the majority of the share of State-owned commercial banks. That means, the government still has the control rights. If the government doesn't transform its functions, state-owned commercial banks after share-holding transformation will still produce non-performing loans. Their competence will not be enhanced, and the transformation will not take effect. Thus the key point turns to be the transformation of the government function.
