The rise of knowledge management makes people realize that, the knowledge transfer, as a major means of knowledge innovation, play an increasingly important role in the development of enterprises. The flurry of cases found that the failure of knowledge transfer become the main reason in the process of M&A integration.From the perspective of knowledge of the recipient, The study's main purpose is to explore the main influencing factors in the process of the knowledge transfer under the mode of absorption, and on the base of it, we study the relationship between the factors and the knowledge transfer effect. Firstly, a large number of literature has been researched, and summarized the related knowledge of the M&A integration and knowledge transfer. The M&A integration include the concept, content, the choice of mode and the present research at home and abroad; The knowledge transfer include the concept, process and the influencing factors. On the base of the literature research, with the actual research, we analyzed the influencing factors of knowledge transfer in the process of the M&A integration, propose the concept model and assumptions, The study operates the variable of the factors, designs the questionnaire, collects data and analysises it with SPSS, then tests the assumptions we proposed.According to the results, The study found several important research findings and modify the model and the assumptions. The conclusions of this study are as follows: The relationship between the implicity of knowledge and the effect of knowledge transfer is positive in the process of the M&A integration, The influence of the knowledge embeddedness and the chanels on the knowledge transfer is not notable. But the influence of the degree of the knowledge recipient's effort has the remarkable affect on the effect of knowledge transfer in the process of M&A integration. The knowledge distance has the positive corralation on the knowledge transfer.In addition, According to the findings of the study ,with the reality of China, We put forward the advice which help to the process of knowledge transfer in the M&A integration, point out the limitation in the research and view the future research.
