Multinational mergers and acquisitions is a important way to acquire externalheterogeneous resources. In the era of economic globalization and global knowledgeeconomy,knowledge has become the core competitiveness of enterprises resources,andhow to acquire advanced technology and management knowledge is an importantproblem facing in the process of enterprise development.There are two major ways when companies acquire knowledge,one is the internalcreation,the second is to get from the outside. If enterprises want to create coreknowledge which is value to them,the enterprises often need to spend a lot of time andeffort, and often face greater risks. Therefore, at present more and more enterpriseswill be the focus of the acquisition of knowledge into the external of the enterprise, inorder to reduce cost and risk. At the same time access to knowledge from outside theenterprise, not only help companies improve their knowledge structure and knowledgesystems, but also conducive to gaining access to heterogeneous knowledge forenterprise development to add fresh blood, so that they can better docking with theinternational market, increasing and improving the driving force behind thecompetitiveness. Therefore most of the enterprises get the knowledge which is needed tothem from the outside. Current research on knowledge transfer performance inmultinational mergers and acquisitions have become a hot topic in the academic,influencing factors on knowledge transfer performance in multinational mergers andacquisitions are also increasing.In the international market,multinational mergers and acquisitions is an importantway to acquire external knowledge. So measuring the multinational mergers andacquisitions performance is measuring the knowledge transfer performance wheneverduring and after the multinational mergers and acquisitions completed.Through integrating and analyzing the related literature of knowledge transferperformance in multinational mergers and acquisitions,this paper proposed knowledgerelatedness,knowledge integration capability,knowledge attribute and knowledgetransfer performance as the basic elements of the theoretical model which was based onthe multinational mergers and acquisitions and knowledge management theory. Its main contents include the following six parts:(1)The impact of knowledge relatedness onknowledge transfer performance in multinational mergers and acquisitions;(2)Theimpact of knowledge integration capability on knowledge transfer performance inmultinational mergers and acquisitions;(3)The impact of knowledge attribute onknowledge transfer performance in multinational mergers and acquisitions;(4)Theimpact of knowledge relatedness on knowledge integration capability;(5)The moderatingimpact of knowledge attribute on the relationship between the knowledge relatedness andknowledge integration capability.(6)The mediating impact of knowledge integrationcapability on the relationship between the knowledge relatedness and knowledge transferperformance. Based on these,the paper proposes eight hypotheses. By using SPSS19.0software,we do the empirical analyses on180valid questionnaires,which have thebusiness of Multinational mergers and acquisitions. The ultimate result tells that thereare seven hypotheses are well tested,and one is not supported.The Regression Analysis show that: Knowledge relatedness and knowledgeintegration capability have positive impacts on knowledge transfer performance inmultinational mergers and acquisitions;Implicit knowledge has a negative impact onknowledge transfer performance in multinational mergers and acquisitions;Explicitknowledge has a positive impact on knowledge transfer performance in multinationalmergers and acquisitions;Knowledge relatedness has a positive impact on knowledgeintegration capability;Implicit knowledge has a positive moderating impact on therelationship between the knowledge relatedness and knowledge integration capability;But the hypothesis that explicit knowledge has a positive moderating impact on therelationship between the knowledge relatedness and knowledge integration capability isnot supported. Finally,the mediating impact of knowledge integration capability on therelationship between the knowledge relatedness and knowledge transfer performance iswell tested.
