With various challenges, involving technology, network, business and market change, the industry of telecom has been coming to the crossroad all over the world. This is especially true for fixed network operators. All of them are in the key time of strategic choice for survival and development, that is, to transition or die out. And transition has become the common strategic choice of all telecom operators in the new era in China. In the year of 2004, the future strategic direction of development has been decided in Chinese telecom industry. Changing from traditional basic network operators to modern integrated information providers, the telecom industry should establish the strategic base for future development.Transition is a long period with developmental phases. The first stage is achieved the common awareness in the thought. With the change of consumers'needs, the telecom industry are demanded to provide integrated information service via the transition for promoter the sustainable development. The next stage is the actual action of transition. During the period, the problems of system mechanism problems and operating system'maladjustment have emerged. The Chinese telecom industry was in the phase from 2006. And the third stage is innovation of system mechanism. It mainly included exploring effective integrated information service operating system, and advancing healthy development of corporate transition. Among these, the innovation of organizational structure system was the base and the central task. In 2006, China telecom established JX telecom as the experimental unit of group organizational structural innovation, and conducted a series of experimentation about organizational structural design. These actions improved the coordination of corporate operation to some extent. The paper unscrambled the structure status in quo of JX telecom industry based the theory of organizational structure, and then focused on analysis of the external environment, developmental trend, transition strategy and internal element change of telecom industry from two points of organizational design structure and contextualization. With the comparison of advantages and disadvantages of the original bureaucracy organizational structure, the paper provided the basic features of JX telecom future organizational structure and detailed design proposal. At last, combined with the status in quo, competence and the organizational structure's matrix operating model of JX telecom industry, the paper advanced the implementing key points from five aspects of organizational culture, divided work principle, information system, communication and human resource management, in order to guarantee the transition and actualization of matrix structure.
