Since the innovation period, Chinese economy developed rapidly. This development happened especially in the private enterprise, which grew very well at that moment. It becomes the principle part in the past twenty years development of Chinese economy and constituted of one of the most dynamic part in Chinese economy. After experiencing its development in four aspects, private enterprise becomes the main power to prompt the development of Chinese economy, an important channel to create employment opportunities, an essential source for the country's income tax. However, this kind of rapid development is related to the economic system with its unique characteristic which provide great opportunities for the private enterprise's growing up. After joining WTO, the competition environment that private enterprises faced not only purely lie in the other inner enterprises, the more drastically competitions come from the 'Buster'--Multi-national corporations. Therefore, when the human resource, technology, product and operation management can hardly catch the pace of its fast development, many aspects will occur and will become a stumbling block. They will probably come across the hard situation such as the management level can not improve parallel, the risk concept will be ignored, and the financing channel becomes narrow if more and more private enterprises grow and expand fast. Therefore, it comes the second evolution stage with the effect of both outer environment and inner aspects.The intention of the private enterprises' second evolution is to enhance the competition ability, realizing its continuable development. The research can be focused in company structure re-organization, management method, company tactic, strategy analyzing, and technology innovation etc. Because of the important role that senior management team which decisions will directly influence the development direction and foreground, it is essential to research the private enterprises' second evolution from the viewpoint of senior team management. It differs from the first evolution and its differences appear in the outside environment, the starting point, product selecting, target realizing, which make the second evolution 'High start, High level, High difficulty', and also, higher requirements for itself. This project makes the statement that the management team for the second evolution should contain the trait of innovation by analyzing the second evolution's background environment, developing requirements and evolutional characteristics.Considered the complicated of the senior management team's building, this thesis chooses the following three aspects to demonstrate its points: adjustment of the property right system, team members' relationships, and the team-work sprits. Adjustment of property right system will be realized by re-distributing the benefits among the team members to increase their work satisfactory. Team members' relationship is to be clearly defined according to various job responsibilities and roles. The conflicts between team members will decrease by the job-role play which will increase the work enthusiasm. Team-work sprit is to build by consolidating members' thoughts and value, which will make them as their own. These three aspects will prompt the building of senior management team management in private enterprise, and reach the target of innovation of senior management team.In addition, these three aspects interact, influencing each other, and work together to construct the senior management team. The attribute of property right system adjustment is inflexible, and the team-work sprit is flexible, meanwhile, team members' relationship contains the both attributes. These three aspects work together to promote the senior management team building.
