Reorganization is the most dramatic and eye-catching operation in the business field. However, it is also a very challenging and tough activity.Being the only commercial public company in Heilongjiang, QL Company is famous for his history of one century. Therefore, his reorganization is being taken great care by the industry this time.The article not only states the whole process of reorganization which is full of great wave and heart-quake, but also focuses on detailed description and deep analysis in the most difficult problem of Human Resources Management in the reorganization — the employees' reallocation and its settlement.The difficulty of employees' reorganization in the company reorganization is very instructive on one hand, and on the other hand, it is of great concern to the whole industry due to its politics-related nature, its lack-of reference of laws and policy frame, its complicate operation and time-consuming process, its dissymmetrical information as well as its high concerning to the company confidentiality.The article did a very comprehensive research and systemic analysis in the current status and solution of the human resources management during the period of reorganization and tried to explore the successful experience of how to reallocate the employees and causes of the existing problems. It shows us how the modern management theories and methods apply to the practice, which will provide the people who are of great insight with a good reference to the research and operation of the M & A (merge and acquisition) of China Enterprises.
