This paper's core content is the acquisition process research on the modal verbs"neng"and"hui", mainly by using statistical methods, using the quantitative research methods, using questionnaires to make a quantitative research on how overseas students learn these modal verbs. Finally, this paper uses statistics analysis and the SPSS to analyses the overseas students'acquisition process.Analyzing the questionnaires acquired from different angles and from overseas students, I find some characteristics and rules of the acquisition of the modal verbs"neng"and"hui"by oversea students, which including the acquisition sequence of the three meanings of"neng"and"hui", the unbalanced development in learners at the three different stages, the influencement of the modal verbs"neng"and"hui"on the acquisition of the wish meanings, but not the capacity and probable meanings. Based on the deep SPSS analysis of the above characteristics, I got the following conclusions: overseas students have a clear understanding of the capacity at an early stage; the inferential form and the subjective attitude of the speaker affect the acquisition of these two adverbs. Finally, I give some suggestions on the teaching of"neng"and"hui"so that teachers will be able to aim at the acquisition characteristics of students and have a definite objective in the foreign language teaching.
