Study Of Law Risk Management System Of Enterprise Based On The Value Chain Theory

Since the eighties in 20th centuries, some big business enterprises in the world have had severe law crises in succession. In the last few years, there have been also law crises of some domestic enterprises on end. With the development of the market economy and economic globalization, and with continuous strengthening of government by law, many people have begun to be aware of growing enterprise law risks. However, experts and scholars concerning these problems haven't, up to now, mastered the widespread regularity of enterprise law risks. Some researches are still around some aspects of the law risk control. In the light of the value chain theories, law and the risk control principle, the thesis puts forward the corporate law risk control system, and focuses on the system of conceptual values, evaluation and optimization of control value chain of corporate law risks.The article mainly discusses:(1) The establishment of the conceptual value system of the corporate law risk; With the comprehension of the significance, function and importance of the value system of the law risk, the value system of the law risk based on law value is advanced, which is composed of "values of the equity and efficiency, the public law and the law risk".(2) The construction of the conceptual value system of the enterprise law risk; In the use of the corporate culture, by means of the "faintness" feature of corporate culture, seven construction systems of the corporate law risk value is presented, and the room of value construction system of the law risk is expanded.(3) The building of the evaluation system of the law risk; Three classes of the law risk and three phases of the risk evaluation are divided based on the ALARP principle. On the basis of the definition of the range, the distinction of non-tolerable area and neglectable area and the risk evaluation of tolerable area are performed.(4) The setting up of the model of value chain control of the law risk; Based on the law safe resources, the law norms, methods of the risk control, the input and output risk and a value activity unit of the risks control, using increased safety value of the law risk and the diagram theory, the value chain of the law risk is described by mathematics.(5) The optimization of the value chain control of the law risk; With the methods of diagram theory and input and output, and the main content of optimization of value increment, efficiency of value chains and cost safety, the optimization of the value chain of the law risk control is analysed, and the assumption is confirmed that the value chain of the enterprise law risk is a complete system of value creation and increase.
