On The Perfection Of The Independent Director System Under The Corporate Governance Structure

Since the 1970 s,countries such as the United States,Britain,and France have gradually introduced the independent director system.As of now,this system has become an important measure to improve the corporate governance structure in the capital market.Nowadays,with rapid economic development and accelerating globalization,the independent director system has become a hot topic of concern in the legal and economic fields.The independent director system has its uniqueness and reasonable space for its existence.Beginning from the actual corporate governance,this paper delves into the situation and implementation of Kangmei Pharmaceutical Co.,Ltd.’s independent director system in China through literature research,inductive research,comprehensive research,and systematic analysis.Through research and analysis,the issue was identified and relevant improvement and improvement strategies proposed.The article is divided into six chapters in structure.Chapter 1 begins with an introduction,which primarily covers the research background and significance,literature review,content and methods,as well as any innovations of the article.Chapter 2 is about the relevant concepts and theoretical basis.In Chapter 3,the transition from the independent director system of Kangmei Pharmaceutical Co.,Ltd.to the specific introduction of Kangmei Pharmaceutical Co.,Ltd.,the practice of independent directors,and the investigation and research of the independent director system of Kangmei Pharmaceutical Co.,Ltd are all discussed.In Chapter 4,hypotheses-based research results are summarized,and theoretical components are combined to analyze and analyze specific problems and causes.The Fifth Chapter,with a focus on the topics of the fourth chapter,then moves forward to formulate a strategy for improving the independent director system within the corporate governance structure.Finally,Chapter 6 presents research conclusions and prospects.Through empirical research,this paper finds that there are many challenges in the independent director system of Kangmei Pharmaceutical Co.,Ltd.,the most prominent of which is: the independence of independent directors can not be guaranteed;In addition,the division of responsibilities between the Board of Supervisors and the Board of Supervisors is also quite vague.In order to perfect the independent director system,we need to ensure the independence of independent directors,protect their basic rights,and disclose the effectiveness of their actions.To this end,we need to establish a sound independent director selection system,and develop the corresponding incentive mechanism,but also clear the responsibilities of all parties.The countermeasures and suggestions put forward in this paper have certain reference and guiding significance for the improvement of the independent director system of Kangmei Pharmaceutical Co.,Ltd.
