Should The Supervisory Board Of Listed Companies In China Be Abolished From The Perspective Of The Independent Director System

The supervisory board system is an important part of the inner surveillance system of the company in China,as well as the key link of corporate governance structure. But due to the bad effect of the old system,legislation and the unreasonable structure of it, the supervisory board system can't achieve the merit and function it deserve, sometimes it is even put away. In this situation, the independent director system was introduced. But the bringing in of this theory leads to overlap and collision between the two systems. In that case, what's the original cause of the supervisory board system's invalidation? Can the two systems coexist in corporate governance structure in our country? How can the supervisory board function well? This paper discussed these questions from the perspective of the independent director system.This paper is composed of three chapters: Chapter One made an introduction of the supervisory board system'current situation, and analyzed the original cause of its invalidation from the aspects of legislation and reality. Chapter Two analyzed the relationship between the two systems, and proposed the author's viewpoint that the two systems can coexist well and the supervisory board should be maintained. Chapter Three proposed countermeasure of perfecting our listed companies'supervisory board system.
