Independent Director System In Listed Companies In China Use

Independent Director System is one of the most important parts of corporate governance, which was produced in American in 1970s. From that time to now; Independent Director System has been developed quickly. Evidence has proved that the effect of Independent Director System had become more and more important and nothing can take instead of it. Just like what the report of the American Stock Exchange in 1992 point out: "the supervising function which was carried out by the fund' s directorates, specially the 'house dog' function of Independent Directors successfully guaranteed this industry hadn' t any great scandals in 60 years at least cost" . Just because of the important effect of the Independent Director, China issued in 2001. The guidance requests all the public companies should establish the Independent Director System by June thirty of 2002. This was a great act of the corporate governance in Chinese public companies, and it indicated that Independent Director System had started to be established, but as Independent Director System is a fresh thing, whether the system could run effectively and whether it could play its role are all unknown.In my thesis I introduced the Independent Director and its application in Chinese public companies by translating and studying lots of foreign dates as well as investigating the real status of Chinese public companies. All of these works can provide the right way how to establish a good Independent Director System.The most specially points of my thesis are:Firstly, the theories and practices integrated together. Not only talked about the theories, but also gave plenty of real cases. This can give the readers more clearly impression.Secondly, I pay equal attention to internationalization and native real condition. On the one hand I studied a lot of standard Independent Director System which came from American and England, on the other hand I pay more attention on how to establish a better system in China.There are six chapters in the thesis:Chapter 1 introduced the basis of choose this article, introduced the purpose and the significance, the study current situation of home and abroad, and introduced the research method etc;Chapter 2 is the mechanism study of the Independent Director System. It includes three contents, one is the concept and history of Independent Director, second is the mechanism of Independent Director, last is the precondition of the Independent Director;Chapter 3 is the comparatively study of international Independent Director System; The comparing can give us some reference of how to establish Chinese Independent Director System;In chapter 4, I analyzed the demands and feasibilities of establishing the Independent Director in Chinese public companies;Chapter 5, I introduced the development status of Independent Director System in China and the problems of the system;Last chapter, for how to establish Chinese Independent Director, I gave some advises.
