In December 1978,the Third Plenary Session of the Eleventh Central Committee of our Party proposed to "develop socialist democracy and improve socialist rule of law".After years of development and improvement,it has finally become one of the "four Comprehensivism" and "rule of law" has become a new synonym for our country.In terms of corporate governance,the system is the law,and the system is above everything else.Entrepreneurs must change their understanding,clarify their thinking,and timely change from the "rule of man" to the "rule of law" track.Under the background of the rule of law,the establishment and operation of enterprises,investment and merger,competition and cooperation among enterprises,etc.,increasingly rely on the soft power of enterprises such as legal support.The ability of rule of law has gradually become another core competence of enterprises.H Auto Company,established for more than 20 years,is an integrated service provider for the whole automobile industry.It is mainly engaged in the sales business of auto 4S stores,with auto financial leasing,second-hand car sales and auction,and auto dismantling as auxiliary businesses.Before 2018,the legal Affairs Department of the company was temporarily assigned to the general manager’s office and only acted as an examination and approval node in the company’s contract examination and approval process to check whether the company’s archived contract was in compliance.In June 2018,H Automobile Company officially established the Legal and Compliance Department,which is in charge of the company’s litigation and daily operation compliance management.This article discusses how H Automobile Company uses legal management to improve its relevant management system and optimize its management mode,shape its competitive advantages,and reduce its business risks in advance or in the course of business,instead of making up for losses through after-action and litigation.This paper will take H Automobile Company as an example,firstly analyze the weak aspect of H Automobile company’s existing legal management function--contract management through analytic hierarchy process,then conduct targeted interviews on H Automobile Company’s contract management,and analyze some management problems in the non-litigation aspect of the company’s legal compliance department by combining literature method and case analysis: Regarding the legal awareness of employees,the organizational structure and position setting of the company,the division of job responsibilities of the legal affairs and compliance department,contract management and major business risks,feasible optimization plans are proposed to solve the above problems,manage the company’s business risks in advance and in the process,and improve the company’s legal management.In order to better serve the corporate strategy,more perfect corporate governance.The legal management optimization scheme proposed in this paper can not only make up for the deficiencies of H Automobile Company’s legal management system,but also greatly improve the office efficiency of H Automobile Company and its affiliated companies by optimizing the contract approval process. |
