In last several years,the layout of 5G is in full swing in the world,which brings broad prospects to the communication equipment industry.However,due to the shortage of high-end talent,China's communications equipment industry still fac es problems such as the lack of key technolog ies.More and more companies are considering introducing advanced foreign core technologies or getting overseas marketing channels and share through transnational M & A,in order to improve their own research and development capabilities and market position.However,because cross-border M & A are more complicated than that of domestic,and merger integration is more difficult,the performance uncertainty of cross-border M&A is relatively high.Therefore,it is necessary to evaluate the performance of enterprises' cross-border mergers and acquisitions and analyze the reasons for their formation,in order to offer reference for other companies with the intention of overseas M & A.This article selects the case of Hytera' s cross-border M & A Sepura as the research object,first introduces the basic situation of this M & A event and analyzes the reasons for M & A.Secondly,the M & A per formance evaluation system was established based on the three synergies of M & A operati ons,finance,and management synergy to evaluate the performance of Hytera 's cross-border M & A Sepura.The analysis and evaluation results show that the main motivatio n of this cross-border M & A is to acquire M & A synergies and improve the market competitive position.The operational synergy and management synergy of this M & A are all manifested but not significant.Financial synergy The effect has not been realized.Although the purpose of this merger and a cquisition has been basically met,there are also problems such as the decline in solvency,the increase in financial risk and the increase in employee turnover rate.Finally,analyze the basic satisfaction of the purpose of Hytera 's merger and acquisitio n and the causes of related problems.Combining the results of performance evaluation and the reasons for its formation,it proposes three points: step by step to promote cultural integration,strengthen human resource integration and consider adopting mul tiple payment methods,and draws the revelation of reasonable choice of target companies for mergers and acquisitions,improvement of R & D competitiveness through technology mergers and acquisitions for companies in the same industry and companies with cr oss-border mergers and acquisitions plans.
