With the continuous emergence of enterprise mergers and acquisitions,in recent years,the state has successively introduced relevant policies on enterprise mergers and acquisitions to support the development of enterprises.At the same time,it has also strengthened the reform of tax policies.As a necessary part of enterprise M&A,tax planning plays a decisive role.Reasonable tax planning helps enterprises to reduce the cost of merger and acquisition,relieve the pressure of M&A,and realize the maximization of enterprise value.The research content includes the following three parts: the first part is theoretical analysis,including the literature on M&A and tax planning,as well as the other analysis,such as the characteristics and scope,objectives and principles of enterprise M&A and tax planning.The second part is the case analysis.In the process of M&A planning,attention could be paid to the selection of the strategy of M&A,the way of M&A and the target company.In the process of implement,the company could focus on the selection of payment mode,financing mode.What's more,the integration of resources after M&A is important too.The third part is countermeasures and Suggestions,which are to balance various factors of tax planning in M&A,formulate reasonable tax planning strategies and avoid the risks of tax planning in M&A.Through the research and analysis of this paper,it is concluded that tax planning should run through the whole process of enterprise M&A and be closely combined with the three stages of enterprise merger and acquisition.Qualitative and quantitative methods could be applied to understand the importance and influence of tax planning on M&A.Meanwhile,the reasonable tax planning scheme can reduce the tax cost and maximize the enterprise value.
