This thesis analyzed the business model,financing method,the purpose of business of China insurance companies,and the causes of insurance companies acquiring above 5% capital share of public companies on secondary market and control it.In addition,the thesis stated the outline of insurance companies acquiring listed companies and detailed analyzed the case of Baoneng group acquiring more than 5% capital shares of China Vanke Co.,Ltd.The thesis analyzed financial status,corporate governance,enterprise nature,cash dividends,evaluation and industry of public companies acquired by insurance companies and further concluded the features of those companies.Finally,the thesis advanced some lessons on case of Baoneng group acquiring China Vanke Co.,Ltd.
