Research On Financial Risk Control Of The Case Of Alibaba Merger And Acquisition LAZADA

In today's economic globalization,the rapid development of e-commerce from the emergence of large-scale mergers and acquisitions,the domestic market situation has basically stabilized.Some e-commerce companies with strong financial resources have begun to invest to overseas through overseas mergers and acquisitions and obtain overseas market and operating resources.Mergers and acquisitions are an important investment behavior of enterprises.They need to achieve the integration of technology,culture and economy.There are many risks,such as political risks,financial risks,cultural risks,etc.In particular,financial risks directly affect the outcome of mergers and acquisitions.Based on the previous studies,this paper studies the financial risk prevention of Alibaba's acquisition of LAZADA,introduces the background of Alibaba and LAZADA and the motivation of M&A,analyzes the financial risks before the merger,the financial risk of the M&A process and the M&A Integrating risks,and finally expounding Alibaba's risk prevention and control of LAZADA mergers and acquisitions.The case of Alibaba's acquisition of LAZADA will help other e-commerce companies to learn from the experience of participating in international market competition and effectively prevent financial risks that may occur in overseas mergers and acquisitions.The main body of this paper mainly includes five chapters.The first chapter is the introduction,which mainly introduces the research background,research significance,research methods,research status at home and abroad and innovation points.The second chapter expounds the relevant theories of corporate mergers and acquisitions financial risk.The third chapter introduces the background of Alibaba and LAZADA,and analyzes the motivation of Alibaba's acquisition of LAZADA.The fourth chapter mainly studies the financial risks of Alibaba's acquisition of LAZADA,including the strategic target selection risk before the merger,the valuation risk,the financing risk in the merger,the payment risk,and the risk of post-merger integration.The fifth chapter expounds the financial risk prevention enlightenment of Alibaba's acquisition of LADAZA.The merger is successful,Alibaba can gain market share in Southeast Asia and its international status will be further enhanced.LAZADA can rely on Alibaba's technical resources and professional experience to further consolidate its position in Southeast Asia and create synergy,which is a win-win process.Through the research in this paper,other e-commerce companies conform to the trend of globalization,and enhance their own operation mode through mergers and acquisitions,while preventing financial risks can be used for reference.
