Enterprises are the cells of the market economy.Directorate presearching both business implementation insititution and internal supervision mechanism attributes,which is the core of enterprise governance.Each meeting will have profound implications for the enterprise operation in the follow-up session.Researching abroad has remained on the glory trail for long years,and a great number of achievements were devoted.However,in China,relevant reserching is seldom,especially in the feild of relationship between directorate frequency and enterprise performance,in which scholars have not obtained a unified conclusion yet.Directorate frequency is a important argument in the research of directorate characteristics.Are there some factors that can adjust the implications caused by directorate frequency?And how it affects?In view of the fact that the resolutioins are transmitted and implemented by managerial,this paper will discuss the relationship between directorate frequency and enterprise performance in the view of the moderating effect of managerial incentive.This paper selects the panel data of 2011~2016 mainboard manufacturing quoted company of the stock markets of Shanghai and Shenzhen as the research sample.Then hypothesizing and building models bases on sorting the previous study and theoretical analysis,empirical analysizing the relationship between directorate frequency and enterprise performance and the the effect of managerial salary incentive.This paper is composed of those parts: Lead-in part intoduces the research backgroud,significance and general research content.The next part offers the documentary survey of existing study about the relationship of directorate frequency,managerial salary incentive and enterprise performance.Then,this paper explains the fundamental theories that involved,suggests hypotheses,selects samples and variables,builds models to testing the hypotheses.The next part makes empirical test to examine the hypotheses that were suggested.The last part is sammaries and suggestions,and summing up the insufficients,expectation the future reseach.This research found that directorate activity is universally in negative correlation to enterprise performance in Chinese mainboard manufacturing quoted company,managerial salary incentive is proved to having counter-regulation impact on this relationship in the enterprises whose chairman and CEO is one of two staff or the enterprises which implementate of equity incentive.This paper is more further than existing study about the effection of directorate frequency by sample subdivision.Besides,intoducing managerial salary incentive as a adjustment variable can help enterprises to choosing reasonable level of managerial salary incentive according to operation situation,promoting the directorate resolutions working effectively.
