In recent years,companies have implemented a large number of mergers and acquisitions and reorganization activities to achieve economies of scale,and continuous high-premium mergers and acquisitions have generated huge amounts of goodwill.Goodwill is an important part of corporate assets.The huge impairment of goodwill formed through its subsequent measurement will bring many impacts,such as performance decline,stock price fluctuations and negative impact on investors.Impairment of goodwill has become a topic of great concern in the capital market and has also attracted frequent attention from the China Securities Regulatory Commission.At present,the research on the impairment of goodwill is mostly focused on the theory and mostly on large samples,and there is a lack of more targeted analysis on the deep-seated problems of goodwill impairment.In this context,a combination of literature reading and case studies is used to focus on the motivation and economic consequences of a company's large-scale accrual of goodwill impairment,with a view to digging up valuable information from case analysis to reduce goodwill Motivation identification and economic consequences studies provide case references to provide more ideas for standardizing the goodwill impairment of listed companies and improving accounting policies.This thesis selects Huawen Media,a typical enterprise in the "thunderstorm"wave of goodwill impairment at the end of 2018,as the research object.First of all,the continuous merger and acquisition of a large amount of goodwill and then the situation of goodwill impairment is combed in detail.Secondly,taking the macro policy level and the micro company level as an entry point,the in-depth analysis of the causes of goodwill impairment,the study found that:the flexibility of accounting standards and expected policy changes provide an opportunity for goodwill impairment,high goodwill accumulated high goodwill And industry reforms have triggered pressure on goodwill impairment.Clearing up the hidden dangers of goodwill impairment in the previous year and reducing the performance burden under strategic transformation have prompted goodwill impairment.At the same time,it is drawn from the analysis of the market response,the impact of financial performance and the economic consequences analysis of the simulation comparison of different subsequent measurement models:investors will obviously react to events related to the impairment of goodwill,and the impairment of goodwill will have a negative impact on corporate performance.The value test method exacerbates the volatility of financial statements.Finally,the conclusions in the case analysis can be enlightened,including:the shortcomings of the impaired test method in practical operation,impairment of goodwill urgently needs to be regulated,the lack of prevention of the risk of impairment of goodwill by the enterprise,and the investor's market disadvantage.status.Suggestions for the above:(1)Macro policy and regulatory level:optimize the subsequent measurement method of goodwill and improve the relevant provisions of accounting standards;strengthen the key information disclosure standards,reduce the operating space for goodwill impairment;increase supervision and effectiveness,standardize corporate goodwill impairment(2)Micro-company level:Cautious valuation of target companies to prevent high-premium M&A risks;strengthen the integration and coordination of M&A targets to ease the pressure of impairment in the industry.(3)Investors'investment behavior:be alert to corporate goodwill impairment,reasonably diversify investment risks;improve their professional qualities and adhere to the value investment philosophy.
