Research On Goodwill Impairment Of Media Listed Companies And Its Influencing Factors

In recent years,mergers and acquisitions in China's securities capital market have flourished.In order to cater to the preference of "weaving stories" in the capital market,listed companies have made a lot of mergers and acquisitions,even at a high multiple premium.Mergers and acquisitions can really improve the overall strength of enterprises in the shortest possible time,achieve business transformation,and win the favor of the capital market.However,behind the carnival of mergers and acquisitions,the issue of huge goodwill has to arouse people's attention.The essence of goodwill is the potential economic value that enterprises can obtain excess profits in the future.Then,how to eliminate the differences of corporate culture and integrate the resources of the merged enterprises? Can enterprises and merged enterprises produce good synergies? Can goodwill bring excess profits to enterprises? All these problems bring great challenges to the future management ability of enterprises.The binge of mergers and acquisitions spawned and enlarged the bubble risk of huge goodwill,which further threatened the safety of enterprises.The huge goodwill and impairment of Huawen Media is also a microcosm of the revelry of capital mergers and acquisitions in recent years.Starting from the development process of Huawen Media's enterprises and the way of merger and acquisition,this paper uses literature research,case analysis,comparative research,data analysis and other research methods to study the generation,subsequent measurement and impairment factors of Huawen Media's huge goodwill.In view of the follow-up measurement of impairment and impairment factors,this paper puts forward some suggestions from macro and micro levels to guard against business risks such as huge amount of goodwill follow-up measurement and goodwill impairment test.The macro level includes:(1)improving the methods of goodwill impairment test,proper impairment of goodwill;(2)strengthening supervision and paying attention to listed companies that break through the red line.The micro-level includes:(1)optimizing the evaluation process and methods,reasonably determining the value of the acquired party;(2)strengthening the construction of internal control system to form effective constraints on management;(3)improving the quality of accounting personnel;(4)formulating enterprise development strategy rationally to prevent excessive expansion,etc.
