A Study On The Participation Of Party Organizations In Corporate Governance In State-owned Enterprises

State-owned enterprises are an important material and political foundation of socialism with Chinese characteristics,and an important pillar and relying force for our party to govern and rejuvenate the country.State-owned enterprises occupy an important position in the development of China's national economy,play an important role,and have made great contributions to the development of China's national economy.In recent years,with the comprehensive deepening of state-owned enterprises in China,the biggest characteristic advantage of state-owned enterprises is to integrate the leading role of party organizations with the operation and management of enterprises under the socialist political and economic system with Chinese characteristics.The way in which state-owned enterprise party organizations participate in corporate governance,what problems exist in the participation process,and how to solve these problems are particularly important for the development of state-owned enterprises.This article is based on the collection of relevant documents on political parties and the economy,political parties and enterprises at home and abroad,and related documents on the participation of state-owned enterprise party organizations in corporate governance.First,define the concepts of state-owned enterprises,party organizations,and corporate governance,and introduce the theory of ideology,principal-agent theory,and stakeholder theory as the theoretical basis of this article.Second,the development process of the participation of state-owned enterprise party organizations in corporate governance is reviewed.It is found through the carding that from the early days of the founding of the state,party organizations of state-owned enterprises have been weakened,diluted,defaced and marginalized,but they have always played a political core role in state-owned enterprises.Now the country is paying more and more attention to the requirements and guidance for the participation of state-owned enterprise party organizations in corporate governance.On the one hand,laws and regulations such as the Constitution,the Company Law,and the Party Constitution provide important party leadership and political core status.Guarantee;on the other hand,through the release of a series of policies,regulations and guidelines to provide guidance for state-owned enterprise party organizations to participate in corporate governance.Then,it introduces the current situation of state-owned enterprise party organizations' participation in corporate governance from the aspects of participation methods and existing problems.The party organizations of state-owned enterprises in China mainly participate in corporate governance in five ways.One is to embed the party organization into the corporate governance structure,including the two modes of "embedding in" and "embedding in." Decisions on major issues;third,the party organization always adheres to the principle of "party management cadres,party management talents" to carry out company personnel management;fourth is to fully and effectively perform supervision and coordination functions in the company;fifth,party organizations actively carry out ideological and political activities in the company jobs.The party organizations also encountered some problems when participating in corporate governance through the above methods.First,the legal status of party organizations' participation in corporate governance is not sufficiently prominent and clear.Most state-owned enterprises have not written the party organizations into the company's articles of association.Clarify status.Second,due to the lack of systems and documents to define the responsibilities and powers of the party organization and the board of directors,it is easy for conflicts between the party organization and the board of directors to make important decisions and personnel management.Third,people with "dual identity" often face role conflicts.Finally,the case of Y Company in Yunnan Province is introduced to analyze in detail the specific methods,influences and actual problems of the party organization's participation in corporate governance.According to the above research,it is found that the participation of party organizations in state-owned enterprises in corporate governance plays a role of directional control and supervision of the company's major matters and personnel management.Comprehensive development of enterprises.In order to solve the problems encountered in the current participation process and enable state-owned enterprise party organizations to better participate in corporate governance,this article puts forward the following suggestions:(1)Improve the state-owned enterprise party organizations' participation in decision-making mechanisms for major issues and continuously improve the party Organic leadership and corporate governance.(2)Implement the principle of "party management of cadres and party management of talents",and strengthen the training,education,assessment and supervision of cadres.(3)Appropriate "two-way entry and cross-servicing",and reasonable control of the proportion of "two-way entry and cross-serving" of the party committee of the state-owned enterprise,the board of directors,the board of supervisors,and the managerial level.(4)Strengthen ideological and political work and train excellent party affairs staff.
