Scientific research institutes are an important scientific and technological force in the innovation system of our country.The biggest characteristic that scientific research institutes are different from other organizations is that they have a large number of technical talents.On the basis of deepening the reform of science and technology system,some scientific research institutes in China have been transformed from public institutions into enterprises and become economic subjects that operate independently and are responsible for their own profit and losses.How to improve their corporate governance structure to adapt to the economic operation rule,maximize organizational transformation efficiency,is many research institutes for the conversion of the problem.According to the theory of economic management,the case study method is adopted to study the case of leather plastic research institute.Firstly,this paper makes a detailed analysis of the literature on corporate governance structure at home and abroad.This paper briefly introduces the transformation of skin plastic research institute and analyzes the deep-seated problems after the transformation.Skin after the conversion of the plastic of the institute of enterprise staff after converted to become skin plastic institute of shareholders,managers or employees,leather plastic institute must maintain the staff's interests,properly solve the management,the core problem of incentive and constraints in scientific research personnel,avoid the brain drain,effectively guarantee the scientific researchers to ongoing technical research and scientific research achievements.Then,this paper analyzes the current situation of corporate governance structure of skin & plastic research institute,and analyzes the existing problems in corporate governance structure,which are mainly manifested in the following aspects: equity structure affects corporate governance structure,interest conflicts among shareholders,lack of management supervision,serious loss of scientific researchers,etc.The reasons are as follows: the principal-agent chain of state-owned shares is too long,the corporate governance structure lacks checks and balances,the appointment of board of directors and board of supervisors is not scientific,and the incentive and restraint mechanism is not sound.Based on the analysis of the current situation of corporate governance and the causes of existing problems,this paper puts forward the optimization measures to improve the corporate governance structure by applying the corporate governance theory and related theories.The optimization design is focused on the equity structure,the three conferences and the incentive and restraint mechanism of managers and researchers.
