The development of private enterprises in China is not easy.In order to grow up,entrepreneurs tend to concentrate on the issue of property rights,which leads to excessive concentration of equity and a monopoly.The confusion between ownership and management rights cannot be independent,resulting in unreasonable internal controls.For private enterprises,it is important to explore a modern corporate governance structure that suits them,enhance the company's own competitiveness,and implement effective internal management.China has introduced the concept of corporate governance structure for more than 20 years.It is transmitted at the level of shareholders' meeting,board of directors and management.From the owner to the operator's authority,the supervisory role of the board of supervisors is gradually strengthened.Formal corporate governance forms the basis of corporate governance.This paper uses internal governance to weigh the equilibrium game between the board of directors,the board of supervisors and senior management controlled by the shareholders' meeting and the shareholders' meeting,which removes troubles,enhances market competitiveness,and achieves rapid development.At present,the change of enterprise mechanism is in line with the modern enterprise system,and it is changing subtly,however,compared with the developed countries,it needs to be perfected both in theory and in practice.Although the management system of private enterprises in the development process is relatively flexible,the problem of corporate governance has not been properly solved,which makes the development of private enterprises limited and has a certain period of existence.To achieve the company's development,it is necessary to establish a sound internal control system,and constantly improve the corporate governance structure which has always been a research topic for the company's sustainable development.HY Company is a non-listed joint-stock company.The imperfect and unsound corporate governance structure has always plagued the development of the company.This paper attempts to optimize the design of the company's corporate governance structure from the shareholders' meeting,the board of directors,the board of supervisors,and the managerial level by analyzing the equity of HY company and the current status of the company's corporate governance structure.The system is suitable for the corporate governance structure required for the development of HY company: increase the managerial shareholding platform of the managerial level,appropriately introduce foreign investors to achieve the change of the existing shareholding structure,achieve the diversification of HY company equity;improve the company's board structure,and conduct the board of directors Optimize the design of the system;improve the structure and operation mechanism of the board of supervisors,give full play to the supervisory responsibilities of the board of supervisors;improve the incentive and restraint mechanism of the managerial level,and establish an effective communication mechanism.All in all,through the research on the optimization design of HY corporate governance structure,we hope to realize the standardized operation of the company and enhance the competitiveness of the company to ensure that the company can achieve sustainable development and provide practical value for corporate governance of companies and similar enterprises.
