With the development of economic globalization,to speed up the acquisitions and reorganizations(hereinafter referred to as A&Rs)of central enterprises is not only a macro requirement of the rational flow promotion and layout optimization of state-owned assets,but also a strategic choice for strengthening,transforming and upgrading central enterprises,as well as building them into the international first-class enterprises.Research has shown that a large number of unsuccessful A&Rs are mainly caused by the failing cultural integrations(hereinafter referred to as CIs)after the A&Rs,for the CIs are always long-lasting and arduous compared with the implementation of A&Rs.It has become an important topic for A&Rs of central enterprises,whether they are domestic or overseas,government or market-oriented A&Rs,to strengthen the research of CIs of state-owned enterprises(hereinafter referred to as SOEs),in order to realize the A&Rs with minimal cultural variation and conflict.The protocol of recombination with Zhejiang Petrochemical&Building Material Group between the central enterprise Sinochem Group(hereinafter referred to as Sinochem)and the State-owned Assets Supervision and Administration Commission(SASAC)of the People's Government of Zhejiang Province,in which Sinochem raised capital in cash and equity with 51%of the equity holdings,claimed the establishment of Sinochem Lantian Group(hereinafter referred to as Sinochem Lantian),and initiated the CIs of A&Rs between central enterprises and the local SOEs.This study chooses the very CI practice of Sinochem Lantian as the main research object,and mainly adopts the problem-oriented,normative and empirical research methods,and the integrated application of literature,survey,demonstration,questionnaire investigation,experience summary and induction.The main research contents and conclusions including:First,based on the practice of A&Rs and CIs of SOEs,we've sorted out extensive literatures,basic theories and research results about the corporate culture,A&Rs and CIs from both domestic and oversea enterprises,and studied the current situation and the existing problems of A&Rs and CIs of SOEs.Second,through culture diagnosis and thorough research,we found out the key factors affecting the CIs out of the cultural characteristics,leader behaviors,employee behaviors and external promotions.Based on these analyses,we have accomplished the project design of CI during the A&R of Sinochem Lantian,which mainly include:design thoughts,working principles,integration mode,realization route,key content and implementing measures.In addition,we have initially constructed the preliminary"Six Dynamic Securing Mechanisms" and "Eight-Dimension Assessment and Evaluation Method" for the cultural construction and CI of Sinochem Lantian.Third,through the study,we have found out enterprise culture can be only formulated during the long-term production and management practice,and CI is not accomplished in an action,should be implemented in an organized and systematic way by standing on the height of the development strategy.The major innovations of this study:We have expanded the theoretical horizons for the research of CI during the A&Rs of SOEs,and provided certain originality and promotional value for similar enterprises.
