In recent years,affected by the international political,economic instability,the rise of protectionism and other factors,the world economic growth slowed and the market demand continued low hovering.China's economy is shifting from high-speed development to high-quality development.The problem of oversupply in some industries is becoming more and more serious,especially the extensive overcapacity of traditional manufacturing industries,with the most prominent ones are the high-pollution and energy-consuming industries,such as steel smelting,coal mining,cement manufacturing,and electrolytic aluminum,et al..Although China has made some progress in the adjustment of industrial structure under the trend of national capacity-to-stock and policy-oriented,overcapacity in such industries as cement still remains a problem that needs to be solved in the future.Based on the above research background,this paper first expounds the merger and reorganization and the group management and control theory on the basis of studying and combing the relevant theoretical knowledge.Secondly,taking Qilianshan Group's merger and acquisition of Anduo Company as an example,from resolving the excess capacity of cement industry,combining theory with practice,this paper combs and analyzes the problems in the management of post-merger and management,and points out the necessity and feasibility of management integration.Thirdly,taking the problem-oriented,this paper forms the corresponding management integration of the overall thinking,mainly from the organizational structure integration,human resources integration,production organization integration.Then,according to the above three main aspects of management integration,the implementation steps of the management integration plan are put forward,pointing out that organizational structure integration and human resource integration are the key points and difficulties of post-merger management integration,and according to the implementation steps and key difficulties of the management integration plan,safeguard measures have been developed to ensure the effective implementation of management integration,including development strategy,organization and human resources,and corporate culture.Finally,the research results are summarized,which can be used as reference for the follow-up acquisition projects of Qilian Group,and also for the merger and acquisition projects of other enterprises.This paper summarizes the experience of Qilianshan Group in merger and acquisition by combining theory with practice,finds out the existing problems,puts forward the methods and measures of management integration after merger and acquisition,and makes the optimization plan of management integration to improve the performance of merger and acquisition.It is instructive to promote the Qilian Mountain group to strengthen and enlarge the regional leading position while resolving the surplus capacity of the region.At the same time,the merger and reorganization work of other enterprises also has certain reference value.
