HD Group XY Coal Mine Merger And Acquisition Project Risk Management Research

In the energy consumption is up to than 65%so that Coal is the traditional industry of China.The main driving force of coal demand is the long-term Chinese economic growth of the society.However,the supply capacity of coal is constrained by resource reserves,the energy conservation,environmental protection and national policies."Thirteen-Five" is the important period of China's coal industry transformation,development,and the history from big to story.Energy pattern and coal production will be to the direction of centralized and efficient development.To the responsible of the "Thirteen-Five",the coal company should promote the progressive production,accelerate the merger and reorganization of coal companies.There are great risks in the process of merger and acquisition,and the key to the success of mergers and acquisitions(M&A)is to identify,evaluate and prevent the risks.Under the premise that M&A in China has become the trend of the future development of coal industry,there is the thought on the development strategy of coal power integration in HD group under the new situation.This paper summarizing the present situation and motivation of mergers and acquisitions,establishing a simple analysis model to analyze the benefit of project acquisition,constructing the risk assessment model of XY coal enterprise by combining AHP and fuzzy comprehensive evaluation method and evaluating the risk level of project M&A which is using Delphi method and Fault tree analysis method to identify the risk factors,giving preventive strategies,and establishing of a comprehensive risk management system and a comprehensive risk management warning system as a case study of XY coal M&A project in HD group.This paper provides scientific evaluation standard and technical method for the risk management of M&A projects in coal enterprises,which can provide the reference for the risk research of M&A projects in related enterprises.Therefore,it has the important theoretical significance and practical value.
