In China,with the rapid development of capital market and social economy,company mergers and acquisitions become more prosperous than ever before.M&A has a variety of ways,for example,the vertical merger,horizontal merger,mixed mergers and acquisitions.For companies,M&A becomes the main approach to realize rapid business expansion and industrial layout.M&A inevitably leads to the change of business environment.The success of M&A must be related to the efficient integration and management.From the M&A's dominant party,the strategy helps to achieve leapfrog development and quickly open the market,which creates a new profit growth point to improve the performance of the company.From the merged side of party,the original shareholders leave the position through M&A,which further standardizes the company's management,attracts more talents to join in,builds new brand name,finally achieves win-win situation.Based on the demand of the strategic development,HF group obtained a controlling stake in HJ capital,through the bid trading on the stock exchange.Unlike the conventional way of M&A,the dominant side neither organize prior due diligence nor negotiate with the target party or former major shareholder.In this case,HF group was once hailed as the ‘barbarian invader'.Without the prior investigation or negotiation,the subsequent integration is much more difficult than the conventional M&A.The case focuses on how HF group integrates HJ capital after the M&A.HF group not only support HJ's previous industries,but also operate new business,such as investment and capital management.HJ capital follows "VC + industry" double business mode.After nearly 4 years of management integration,both industrial sector and venture capital sector operate successfully.The paper,based on the M&A case of HF group,focus on the study of integration management problem after the M&A.Firstly,the background of M&A and the problems after M&A is discussed.The second section is the analysis of HJ capital's management system,technology research and development,corporate culture,human resources,the integration of management of core business market resources.Besides,the paper summed up the integration of management experience.This article uses the case analysis method,focusing on the HF group's M&A example;and summarizes the integration measures,the effect and experience of integration.In order to improve the success rate of M&A in the capital market,we can provide some experience for the ‘barbarian invader' M&A.
