With the face of the global financial crisis, the economic development of China should adapt to the new times and the new implementation. The rapid development of national economy can be carried out with the help of the backbone of the group company. Meanwhile, in order to adapt to the new situation, the group company should put forward higher requirements of the internal management and control. Because the current large-scale group companies are many enterprises horizontal Fund Association, multi-level longitudinal organization of economy of the Commonwealth, and business and geographical dispersion of scattered, headquarters cannot fully grasp the resource status of the members of the unit,and have less impact on segment business effectiveness and efficiency. Group would like to want to achieve the overall strategy and synergistic effect, must carry out the integration of enterprise resources. Funds are the lifeblood of the survival and development of the group, it is also the most important resource management group, and group must play the role of financial resource aggregation advantage. Funds should be efficient operation for achieving each member enterprise freshness funds.In the development process, the current large multinational groups has been explored management models, including financial settlement center, financial companies, as well as a combination of both. In order to implement centralized management of funds, the key way is that Enterprises should choose the right funds centralized management model based on their own business conditions, operating conditions, stage of development. Comparing with the traditional management, treasurer system of group centralized management of funds can realize the funds centralized control and the Group’s internal management; it can also strengthen the financial monitoring efforts to control financial risks,.In the base of completed the management, enterprise financial management can achieve a good environment. Through the centralized management and control of funds, expanding financing channels, it can carry out the rational allocation of resources on a global scale enterprise groups for addressing the financial risk. Finally, the maximum goal of the Group’s capital appreciation can be achieved.In the paper, based on capital structure theory and modern contract theory, by the methods of literature research, comparative analysis and case studies Combination, the depth study of centralized management of the companies’ funds how to optimize is carried out. Meanwhile, the core of centralized management of funds is centralized management of finance risk and liquidity risk, and analyzes ZY group centralized fund management deficiencies.The overall introduction of ZY Group is carried out by building treasurer system complete optimization, improving the management platform, building shared service centers and decision support systems and analyzing the expected benefits of centralized management of funds optimized.
