The Analysis Of Family Business Board Of Directors Governance Under The Behavior Of Infighting

Family businesses which have a dual sys tem characteristic of family and enterprise play a significant role in the national economy. In the early years, the family members mainly rely on family relationship to vulgarly manage these enterprises which have weak system and rules. In this time, the enterprise affairs are always closely related to family affairs. With the large-scale development of the family businesses, the family businesses need to gradually introduce modern management. However the unbalance of interests often leads to conflicts bet ween the family members. So how to balance the rights and responsibilities of each family member is the key to prevent the emergence of infighting and ensure the sustainable development of the family business. From the reality, most scholars researching on this issue are mainly concentrated on control gain, but few scholars are concentrated on the board of directors which acts as the center of control power’s distribution and supervision. The board of directors which connects the shareholders and managers can undertake the rights of the shareholders and supervise the managers. So that strengthening the family business board of directors governance has a great significance to prevent the emergence of infighting. In this paper, We chose the case of True Kung fu and research it from the perspective of board governance. Through summarizing the problems of the True K ung fu board of directors and improving it, we hope that the case of True Kung fu can provide the board of directors governance experience in balancing the interests of the family members and preventing the infighting.
